If there is alread a proper vent for the Gas water heater, spend the $12 on ducts to get the exhaust up to that point. No point in creating a code violation due to laziness.

Sure, as long as it is large enough (around 12" x 24" should do, approx 12"-18" off the floor. If this is being inspected the inspector has the final say though so you may want to call him and ask, most are happy to help.
